ESTABLISHMENT OF A REAL ESTATE DEVELOPMENT ENTERPRISE

According to the “Law of the People’s Republic of China on Administration of Urban Real Estate” (‘‘Urban Real Estate Law’’) promulgated by the Standing Committee of the National People’s Congress in July1994, a real estate developer is defined as an enterprise which engages in the development and sale of real estate for the purpose of making profits. Under the ‘‘Regulations on Administration of Development of Urban Real Estate’’ (the ‘‘Development Regulations’’) promulgated by the State Council on 20 July 1998, in addition to requirements on establishing enterprises, an enterprise which is to engage in development of real estate shall satisfy the following requirements: 1) its registered capital shall be RMB 1 million or more and 2) have four or more full-time professional real estate/construction technicians and two or more full-time accounting officers, each of whom shall hold the relevant qualification certificate. The local government of a province, autonomous region or municipality directly under the central government may, based on local circumstances, impose more stringent requirements on the registered capital and the professional personnel of a real estate developer.
根據(jù)全國(guó)人民代表大會(huì)常務(wù)委員會(huì)1994年7月頒布的《中華人民共和國(guó)城市房地產(chǎn)管理法》(簡(jiǎn)稱為“城市房地產(chǎn)法”),房地產(chǎn)開(kāi)發(fā)商是以營(yíng)利為目的,從事房地產(chǎn)開(kāi)發(fā)和經(jīng)營(yíng)的企業(yè)。在1998年7月20日由國(guó)務(wù)院頒布的《城市房地產(chǎn)開(kāi)發(fā)經(jīng)營(yíng)管理?xiàng)l例》(簡(jiǎn)稱為“開(kāi)發(fā)條例”)中,除了要求必須設(shè)立企業(yè)之外,還規(guī)定從事房地產(chǎn)開(kāi)發(fā)的企業(yè)應(yīng)當(dāng)滿足如下要求:1)有100萬(wàn)元以上的注冊(cè)資本;2)有4名以上持有資格證書(shū)的房地產(chǎn)專業(yè)、建筑工程專業(yè)的專職技術(shù)人員,2名以上持有資格證書(shū)的專職會(huì)計(jì)人員。省、自治區(qū)、直轄市人民政府可以根據(jù)本地方的實(shí)際情況,對(duì)設(shè)立房地產(chǎn)開(kāi)發(fā)企業(yè)的注冊(cè)資本和專業(yè)技術(shù)人員的條件作出更高要求。深圳翻譯公司
To establish a real estate development enterprise, the developer should apply for registration with the administration for industry and commerce on or above the county level. The real estate developer must also report its establishment to the real estate development authority in the location of the registration authority, within 30 days of the receipt of its Business License.
為了設(shè)立房地產(chǎn)開(kāi)發(fā)企業(yè),開(kāi)發(fā)商應(yīng)當(dāng)向縣級(jí)及縣級(jí)以上工商行政管理局申請(qǐng)登記。房地產(chǎn)開(kāi)發(fā)商也必須在收到營(yíng)業(yè)執(zhí)照之日起30日內(nèi),將其設(shè)立情況向注冊(cè)登記機(jī)關(guān)所在地的房地產(chǎn)開(kāi)發(fā)主管部門(mén)備案。
Invnder the ‘‘Foreign Investment Industrial Guidance Catalogue’’ promulgated jointly by the Ministry of Commerce (the “MOFCOM”) and the National Development and Reform Commission (the “NDRC”) in November 2004, the development and construction of ordinary residential units falls within the category of industries in which foreign investment is encouraged, whereas the development of a whole land lot and the construction and operation of high end hotels, villas, premium office buildings and international conference centres falls within the category of industries in which foreign investment is subject to restrictions, while other real estate development falls within the category of industry in which foreign investment is permitted. A foreign investor intending to engage in the development and sale of real estate may establish a joint venture or cooperative venture in accordance with the ‘‘Law of the People’s Republic of China on Sino-Foreign Joint Ventures’’ or the ‘‘Law of the People’s Republic of China on Sino-Foreign Cooperative Ventures’’ respectively. Prior to its registration, the parties to the joint venture or cooperative venture shall sign a joint venture/cooperative venture agreement, contract and articles of association, which must be approved by the foreign economic and trade authorities, upon which approval an Approval Certificate for a Foreign.
在2004年11月商務(wù)部、國(guó)家發(fā)展和改革委員會(huì)頒布的《外商投資產(chǎn)業(yè)指導(dǎo)目錄》中,普通住宅的開(kāi)發(fā)建設(shè)歸為鼓勵(lì)外商投資的產(chǎn)業(yè)目錄,而土地成片開(kāi)發(fā)、高檔賓館、別墅、高檔寫(xiě)字樓和國(guó)際會(huì)展中心的建設(shè)和經(jīng)營(yíng)歸為限制外商投資的產(chǎn)業(yè)目錄,同時(shí)其它不動(dòng)產(chǎn)開(kāi)發(fā)歸為禁止外商投資的產(chǎn)業(yè)目錄。打算從事房地產(chǎn)開(kāi)發(fā)和銷售的外商可以根據(jù)《中外合資經(jīng)營(yíng)企業(yè)法》或《中外合作經(jīng)營(yíng)企業(yè)法》分別設(shè)立合資經(jīng)營(yíng)企業(yè)或合作經(jīng)營(yíng)企業(yè)。在登記之前,合資經(jīng)營(yíng)企業(yè)或合作經(jīng)營(yíng)企業(yè)的當(dāng)事人應(yīng)當(dāng)簽訂合資經(jīng)營(yíng)協(xié)議或合作經(jīng)營(yíng)協(xié)議、合同以及公司章程,經(jīng)過(guò)批準(zhǔn)之后,將被授予外商投資企業(yè)批準(zhǔn)證書(shū),并報(bào)商務(wù)部備案。
